Terms of Service

1. Acceptance of Terms

By accessing, installing, or using Duely in any form (the “Application”, “App”, or “Service”), you confirm — without reservation — that you have read, fully understood, and unconditionally agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and any other policies or notices published within the App.

If you do not agree with any provision of these Terms — in whole or in part — your sole remedy is to immediately cease all use of the App and, if applicable, delete your account. Continued use of the App after these Terms are posted, updated, or modified constitutes your irrevocable acceptance of the then-current version.

These Terms apply to all users globally, including visitors, registered account holders, and any person or entity accessing the App in any capacity whatsoever.

2. Nature of the Service — Personal Utility, Not Financial Advice

Duely is a personal utility application created by an independent developer as a hobby project. It is designed solely to assist individual users in tracking credit card billing cycles, statement dates, due dates, and payment history for their own organisational convenience.

Nothing in the App constitutes financial, investment, legal, tax, or professional advice of any kind. You are solely and entirely responsible for independently verifying all balances, due dates, and financial obligations with your card issuer before making any financial decisions or payments.

3. Hobby Project — Evolving Software, No Guarantees

Duely is built and maintained by an independent developer in their personal spare time. It is a continuously evolving project that is updated, modified, and improved on a best-effort basis. As such, the following must be clearly understood before use:

• The App may contain bugs, errors, inaccuracies, or unexpected behaviour at any time, including immediately after updates.
• Features may be added, changed, deprecated, or removed without advance notice.
• The developer has made reasonable efforts to build a functional and secure product but does not and cannot guarantee perfection of any kind, whether technical, functional, or security-related.
• The App may experience downtime, data unavailability, or unexpected interruptions at any time.
• Security measures are implemented to the best of the developer's knowledge and ability; however, no system is immune to vulnerabilities, and the developer assumes no liability for any security incident, breach, or data exposure of any kind.

By using the App, you acknowledge that you understand and accept these inherent characteristics of independently developed, continuously evolving software.

4. Notification Service — Platform Limitations & No Guarantee of Delivery

Duely includes a notification feature designed to remind you of upcoming or overdue bill due dates. This feature operates under significant platform-imposed constraints that are entirely outside the developer's control. You must read and understand the following before relying on notifications in any capacity.

Always maintain independent reminders through your bank's official channels. Use Duely's notification feature as a supplementary convenience, not as a replacement for your own diligence.

5. “As-Is” — Absolute Disclaimer of Warranties

THE APPLICATION IS PROVIDED “AS-IS,” “AS-AVAILABLE,” AND “WITH ALL FAULTS,” WITHOUT ANY WARRANTY OF ANY KIND WHATSOEVER, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, THE DEVELOPER AND ALL ASSOCIATED PERSONS, ENTITIES, CONTRIBUTORS, AND PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES AND CONDITIONS, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
• Warranties that the App will operate without interruption, error, or defect.
• Warranties that any information, data, or output produced by the App is accurate, complete, current, or reliable.
• Warranties that notifications will be delivered on time, at all, or in the manner expected.
• Warranties that the App is free of security vulnerabilities, malware, or harmful components.
• Warranties that defects or errors will be corrected, or corrected within any particular timeframe.

No oral or written communication from the developer, any contributor, or any associated party constitutes a warranty of any kind. You assume the entire risk as to the quality, performance, and suitability of the App.

6. Absolute Limitation of Liability — No Claims Permitted

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE DEVELOPER OF DUELY AND ALL ASSOCIATED PERSONS, CONTRIBUTORS, AND PARTIES SHALL NOT BE LIABLE — UNDER ANY LEGAL THEORY WHATSOEVER, INCLUDING WITHOUT LIMITATION CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, EQUITY, OR OTHERWISE — FOR ANY LOSS, DAMAGE, COST, EXPENSE, OR HARM OF ANY KIND.

This includes, without limitation, any of the following regardless of how they arise and regardless of whether the developer was advised of the possibility of such losses:

• Financial losses of any nature — including late payment fees, penalty charges, interest, charges, fines, or any monetary cost whatsoever.
• Credit-related consequences — including any negative impact on your credit score, credit report, credit rating, or creditworthiness with any institution.
• Loss of data — including loss of vault data due to a forgotten Master PIN, accidental deletion, device loss, account expiry, server failure, or any other cause.
• Missed notifications or reminders — including any financial or non-financial consequence of a notification not being delivered, being delayed, or being suppressed.
• Reliance on App data — including any loss arising from trusting or acting upon data displayed within the App that is inaccurate, incomplete, or outdated.
• Security incidents — including unauthorised access, data exposure, or breaches arising from any cause, including the developer's own negligence.
• Service interruptions — including downtime, unavailability, or unexpected termination of the App or any of its features.
• Indirect, incidental, special, punitive, exemplary, or consequential damages of any nature and however characterised.

In jurisdictions that do not permit complete exclusion of liability, the developer's total aggregate liability shall be limited to the lesser of the amount you have paid to use the App (which is zero, as the App is free) or the minimum amount permitted by applicable law.

7. User Responsibilities & Data Security

By using the App, you agree to:

• Safeguard your Master PIN: Because Duely uses strict zero-knowledge client-side encryption, we cannot recover your vault data if you forget your Master PIN. You are solely responsible for remembering your PIN and for maintaining offline backups.
• Maintain independent payment tracking: Never rely exclusively on Duely for payment deadline management. Always use your bank's official channels as your primary source of truth.
• Verify data independently: You must independently verify all balances and due dates with your card issuer before making any payment decisions.
• Keep your account secure: You are responsible for the security of your Google account and any device on which you use the App.
• Maintain backups: Regularly export your encrypted .duely backup file. The developer is not responsible for data loss under any circumstances.
• Understand notification limitations: Read Section 4 carefully. Do not use notifications as your sole or primary payment reminder system.

8. Acceptable Use

You agree not to use Duely:

• For any unlawful purpose or in violation of any applicable law or regulation.
• To attempt to probe, scan, or test the vulnerability of our infrastructure.
• To reverse-engineer, decompile, or attempt to extract source code or encryption implementations.
• In any manner that could damage, overburden, or impair the App or its servers.
• To misrepresent your identity or affiliation with any person or organisation.

Violation of this section may result in immediate termination of your account and access to the App without notice, compensation, or liability to you.

9. Voluntary Contributions

Duely is made available free of charge. The App includes an optional mechanism for users who wish to voluntarily contribute to the ongoing costs of running the service (e.g., hosting, infrastructure). Such contributions are entirely voluntary, non-refundable, and confer no rights, benefits, guarantees, or obligations of any kind on either party. Contributors should not expect enhanced support, specific features, service level guarantees, or any commercial benefit in exchange for any contribution.

10. Master PIN & Zero-Knowledge Architecture

Duely uses a zero-knowledge encryption model. Your Master PIN is used locally on your device to derive a cryptographic key. This PIN is never transmitted to or stored on any server.

This means — without exception and without any workaround:

• We cannot reset, recover, or bypass your Master PIN under any circumstances.
• We cannot recover your vault data if your PIN is forgotten, lost, or unavailable.
• If you reset your account, all vault data is permanently and irreversibly destroyed.

By using the App, you expressly and irrevocably acknowledge and accept these limitations as an inherent and intended consequence of the zero-knowledge security model.

11. Service Availability, Beta Status & Discontinuation

Duely is an independently developed application that is actively being built and may, at any time, be in beta, pre-release, or experimental status. The developer reserves the right — at their sole and absolute discretion — to:

• Modify, suspend, or permanently discontinue the App or any feature at any time, with or without notice.
• Change the Terms of Service, Privacy Policy, or any other policy at any time.
• Terminate or suspend any user's access to the App for any reason, including violation of these Terms.

In the event of discontinuation, the developer will make reasonable efforts to provide advance notice to allow users to export their data. However, this is not guaranteed, and the developer shall not be liable for any consequences of such discontinuation.

12. Intellectual Property

All code, design, branding, and content constituting Duely — excluding data you personally input — is owned by the developer and protected under applicable intellectual property laws. You are granted a limited, personal, non-exclusive, non-transferable, revocable licence to use the App for your own private, non-commercial tracking purposes, in accordance with these Terms.

You retain full ownership of the personal data you input into the App. The developer claims no ownership over your personal financial data.

13. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising from or in connection with these Terms or the App shall be subject to the exclusive jurisdiction of the competent courts located in India.

If any provision of these Terms is found to be invalid, unenforceable, or void under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. The invalidity of any provision shall not affect the validity of the remainder of these Terms.

14. Severability, Waiver & Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the developer with respect to the App and supersede all prior or contemporaneous understandings, agreements, representations, or warranties.

The failure of the developer to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing.

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without the developer's prior written consent.

15. Changes to These Terms

The developer reserves the right to update these Terms at any time and for any reason. Changes take effect immediately upon posting. For material changes, reasonable efforts will be made to notify registered users via email. Continued use of the App following any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must immediately cease use of the App and delete your account.
